ARTICLE I - Name
The Name of the association shall be the Secondary Reading Council.
ARTICLE II - Purpose of the Secondary Reading Council (hereinafter "SRC")
- To promote membership in and partnership with the Florida Reading Association, and the International Reading Association, and to support activities related to secondary reading.
- To improve the quality of reading instruction at all levels by:
- Encouraging the study of the nature of the reading process,
- Stimulating, promoting, and publishing research dealing with all aspects of reading,
- Acting as a clearinghouse for information relating to reading,
- Encouraging, supporting, and contributing to the development of high-quality teacher education programs, both pre-service and in-service,
- Sponsoring conferences and meetings.
- To promote mutual understanding and cooperation among educators at the secondary level and with individuals in other organizations and institutions having interest in reading.
ARTICLE III - Membership
- Eligibility. Membership shall be open to any person interested in the teaching or supervision of reading at the secondary level.
- Active Members. Membership in the SRC shall be effective upon payment of dues and run from October 1 to September 30.
- Dues. Dues shall be established by the SRC's Board of Directors.
ARTICLE IV - Officers
- Officers. The elected officers of the SRC shall be the president, vice president, secretary, and treasurer, and one immediate past officer. Any SRC member in good standing who is a member of FRA is eligible for election to an officer's position.
- Term of Office. The term of office for all officers shall be one year; elections to be held at the annual SRC business meeting at the FRA convention.
- Vacancy of office. In the event a vacancy occurs between elections, the remaining officers may appoint an SRC member in good standing to fulfill the unexpired term of the vacant office.
- Duties of President. The president shall act as the executive officer of SRC. She/he shall preside at all meetings of SRC and act as chairperson of the board of directors and shall exercise leadership and supervision over the affairs of the SRC in implementing its purpose. She/he shall sign all contracts and other instruments on behalf of the SRC.
- Vice President. The vice president shall serve as a member of the board of directors and assume and perform the duties of the president in her/his absence.
- Secretary. The secretary shall serve as a member of the board of directors, shall maintain the minutes of meetings, papers and records of the SRC, including the membership roster. The secretary shall turn all records over to her/his successor.
- Treasurer. The treasurer shall serve as a member of the board of directors, maintain the financial records of the SRC, maintain the checkbook and make all disbursements thereof. In addition the Treasurer shall receive membership dues, make deposits and communicate to the secretary additions to the membership roster. The treasurer shall turn all records over to her/his successor.
- Past President. A past President shall serve as an advisor to the board of directors for a year, elected as are the other officers. He/she has full voting rights on the board of directors.
ARTICLE V - Board of Directors
- Function. The Board shall exercise general supervision and control over the property and affairs of the SRC. It shall have general authority to administer the affairs of the SRC between membership meetings. It shall be responsible for organizing an annual meeting and regular statewide conferences of SRC. Decisions made by the board of directors shall be by consensus, or majority vote if a vote is required.
- Meetings. The board shall meet as necessity dictates and may do so in person, or telephonically or electronically. The president shall convene meetings of the board, or any two other officers may do so if they agree that a meeting is necessary to fulfill their duties.
ARTICLE VI - Parliamentary Authority
The rules contained in Robert's Rules of Order, latest edition, shall govern the proceedings of the SRC, except in such cases as are governed by these Bylaws and special rules adopted by the SRC.
ARTICLE VII - Amendments
- Amendments to the Bylaws shall come from any member and shall be presented at the annual meeting. Members present shall constitute a quorum for the purpose of amending these Bylaws. Two-thirds of those present shall be required to vote in the affirmative for any amendment to these Bylaws.
- Amendments adopted in the manner described above shall be incorporated into the Bylaws.
ARTICLE VIII - Dissolution
In the case of Dissolution of the SRC, any assets remaining after the payment of debts or provisions therefore shall revert to the Florida Reading Association.
